Football anti-racism group Kick It Out launched a new mobile phone tool for fans and players to report racist or homophobic abuse, after a number of high-profile incidents last season.

Football anti-racism group Kick It Out on Monday launched a new mobile phone tool for fans and players to report racist or homophobic abuse, after a number of high-profile incidents last season.

The mobile phone application will allow fans and players to report abuse directly to Kick It Out, which will follow up the cases with the football authorities and, if necessary, the police.

"Part of the problems that were raised last season were players saying they had complained about an incident and nothing was done about it," said the organisation's chairman Herman Ouseley.

"Some of them never even found out about the outcome of their complaint, especially if it was not found in their favour because we had not been involved.

"Now if players have got a problem they will be able to contact us directly and, if they wish, anonymously, and we will follow through on the complaint.

"Fans will also be able to contact us if for some reason they don't feel the confidence to report something to a steward."

English football has been marred by incidents of racism on and off the pitch over the last two years, with the John Terry and Luis Suarez cases provoking criticism of Kick It Out's response by some players.

Ouseley hopes the new season of action will prompt clubs to take the fight against discrimination more seriously, rather than paying lip service to the battle against racism during the organisation's traditional two-week advertising campaign.

"We felt the old format was stale," he added.

"Clubs need to show they are being much more inclusive and reaching out to fans to show they are embracing everyone, and taking the responsibility for educating everyone - players, supporters and employees.

"If an incident does happen then clubs need to take responsibility and not blame someone else."

Rate deal doesn't resolve $1.2 trillion student loan crisis debt

Now that the U.S. Senate has acted on a deal to temporarily lower the interest rates on some new federal student loans, and an agreement with the House of Representatives seems imminent, some among the political and pundit class seem ready to declare the student loan debt crisis solved.

Nothing could be further from the truth.

Under the plan adopted by the Senate, interest rates for borrowers using federal Stafford loans in the fall would be set at 3.86% for undergraduates, 5.41% for graduate students and 6.41% for parents. For now, these rates are below the 6.8% that they had risen to on July 1. However, the interest rates will be allowed to rise, in some cases as high as 10.5%, based on the economy.

For future borrowers, the deal falls short because instead of closing corporate tax loopholes today, interest rates are allowed to rise. In fact, they are projected to exceed the 6.8% they are at today within five years, costing borrowers billions more in interest.

And there is nothing to addresses the $1.2 trillion student loan debt crisis that currently burdens our economy and the finances of over 37 million hardworking Americans.

Student loan borrowers have done the right thing. They've worked hard and taken on the responsibility of paying for the education or job training they need to get ahead.

They are not asking for a bailout. But they deserve a system that treats them fairly and doesn't turn their hard work and education into a multi-decade debt sentence instead of the path to the middle class.

Right now, American families are increasingly being squeezed by skyrocketing tuition and a system in which big banks and the federal government make billions in profits from the interest on their student loans.

State and federal government have made deep cuts in higher education funding, resulting in tuition and the average amount of student loan debt doubling over the past 12 years.

Banks that can borrow money from the Federal Reserve for less than 1% are charging student loan borrowers 12% and more for loans. And the federal government is projected to earn over $50 billion from the interest on student loans next year alone.

Yet, almost unbelievably, student loan borrowers are prevented by law from refinancing their debt.

The result is that student loan debt is now the second biggest consumer debt in the country, more than credit cards and auto loans. Only mortgage debt is higher.

In her speech during the Senate debate on the student loan interest rate legislation, Sen. Tammy Baldwin (D-Wis.) was right on when she said higher education and job training ought to be a path to the middle class, not a path to indebtedness.

To ensure that the promise of a more secure economic future offered by higher education and job training is preserved, we need action on common-sense solutions today. We ought to allow people to refinance their student loans, like they can a mortgage, deduct the interest on their student loans from their taxes and limit tuition increases to the rate of inflation.

Our leaders in Washington, D.C., and in Wisconsin must recognize the clear and present danger of student loan debt to our economy and the hopes and dreams of millions of hardworking Americans. Without a sense of urgency and action on real, comprehensive solutions, we run the risk of seeing the $1.2 trillion student loan debt crisis become a $2 trillion economic catastrophe.

Research conducted by the One Wisconsin Institute found that in Wisconsin and nationally borrowers are paying off their student loans for nearly 20 years and that debt has a significant, negative impact on the state and national economy.

Italian bus crash kills 39; second European transport disaster in five days

MONTEFORTE IRPINO, Italy (Reuters) - Thirty-nine people were killed and around 10 injured when a bus plunged off a viaduct in southern Italy in what Prime Minister Enrico Letta described on Monday as a huge tragedy.

Initial reports suggested that the coach was travelling at speed and had hit four or five cars before crashing over the roadside barriers on a stretch of road near Monteforte Irpino, east of Naples, on Sunday night. There were around 50 people on board, including many children.

It was one of the worst road accidents in Italy's history, and the second transport disaster to hit southern Europe in the space of five days. Seventy-nine people were killed when a high-speed train derailed in the Spanish pilgrimage town of Santiago de Compostela on Wednesday.

Letta, on an official visit to Athens, canceled a private visit to the historic Acropolis before meetings with his Greek counterpart Antonis Samaras.

"It is a very sad day for Italy, what happened last night. There are no words for it," he told reporters. "It is a huge tragedy."

A statement from motorway operator Autostrade per l'Italia said the coach appeared to have been travelling fast in the vicinity of slower-moving traffic, even though the lower speed had been clearly indicated.

"You would think that the barriers on the viaducts and bridges should prevent this type of accident but evidently it seems the impact was so strong that even the barrier gave way," said Alessio Barbarulo, head of the local fire brigade division that coordinated the rescue effort.

As rescue services worked, crushed wreckage from the coach lay on its side, while bodies covered in white sheets were lined up on the road before being taken away by ambulances.

Thirty-six people were killed immediately and another three died later in hospital, a police official said.

Infrastructure Minister Maurizio Lupi said it was too early to say what may have caused the accident but that there was no indication of technical problems with the bus, which had passed its annual inspection in March.

An official from the prosecutor's office in nearby Avellino said investigations would look at the possibility of manslaughter or causing an accident. The driver was killed in the crash.

All of the victims appear to have been Italians returning from an excursion to the town of Telese Terme, known for its hot sulphurous springs and a nearby lake popular as a fishing spot.

Local media said the stretch of road where the bus crashed had been the scene of repeated accidents.

I met Younity co-founder Erik Caso while we were in L.A. visiting MuckerLab earlier this month, and his pitch was quite interesting -- from the looks of it, I'd be able to access vacation photos that are on my home computer from my phone in a snap (that is, if I had an iPhone.) Essentially, it makes the experience of the cloud come to you, rather than the other way around.

MANILA, Philippines?The Philippines and Japan are set to hold talks on territorial disputes in Asian waters.

Japanese Prime Minister Shinzo Abe is expected to arrive in the country Friday night and will pay a courtesy call on President Benigno Aquino III on Saturday, Department of Foreign Affairs (DFA) assistant secretary Raul Hernandez told reporters Friday.

Territorial dispute issues on the West Philippine Sea, also known as South China Sea, ?will be discussed as part and parcel of the regional security issues,? Hernandez said. ?The two sides are expected to tackle maritime security cooperation and safety at sea.?

China has been claiming the entire West Philippine Sea as part of its territory including Bajo de Masinloc (Scarborough Shoal or Panatag Shoal) and the Ayungin Shoal.

Chinese Maritime Surveillance ships including fishing vessels are being spotted regularly within the Philippines 200 nautical mile Exclusive Economic Zone.

Japan is also protesting against what it says were intrusions of Chinese ships into its territorial waters.

Also on the agenda of the meeting between the two are ?bilateral matters pertaining to economic cooperation, the Mindanao peace process, and people to people exchanges,? he said.

RBCC holds annual Ladies' President's Cup Tournament

WINSTON-SALEM, N.C., July 18, 2013 -- Scientists at Wake Forest Baptist Medical Center have developed a new way to measure the cumulative effect of impacts to the head incurred by football players.

The metric, called Risk Weighted Cumulative Exposure (RWE), can capture players' exposure to the risk of concussion over the course of a football season by measuring the frequency and magnitude of all impacts, said senior author of the study Joel Stitzel, Ph.D., chair of biomedical engineering at Wake Forest Baptist and associate head of the Virginia Tech-Wake Forest University School of Biomedical Engineering and Sciences.

The study is published in the current online edition of the Annals of Biomedical Engineering.

Based on data gathered throughout a season of high school football games and practices, the researchers used RWE to measure the cumulative risk of injury due to linear and rotational acceleration separately, as well as the combined probability of injury associated with both.

"This metric gives us a way to look at a large number of players and the hits they've incurred while playing football," Stitzel said. "We know that young players are constantly experiencing low-level hits that don't cause visible injury, but there hasn't been a good way to measure the associated risk of concussion."

Concussion is the most common sports-related head injury, with football players having the highest rate among high school athletes, according to the study. It is estimated that nearly 1.1 million students play high school football in the United States. However, research on the biomechanics of football-related head impacts traditionally has concentrated on the collegiate level rather than on the high school level.

With such a large number of players in the sport, it is critical to understand the risk associated with different levels of impact and accurately estimate cumulative concussion risk over the course of a practice, game, season or lifetime, Stitzel said.

In the Wake Forest Baptist study, the researchers measured the head impact exposure in 40 high school football players by using sensors placed in their helmets to record linear and rotational acceleration. A total of 16,502 impacts were collected over the course of one football season and the data were analyzed as a group and as individual players.

Impacts were weighted according to the associated risk from linear acceleration and rotational acceleration alone, as well as to the combined probability of injury associated with both. This is an improved method of capturing the cumulative effects from each impact because it accounts for nonlinear relationships between impact magnitude and the associated risk of injury, Stitzel said.

"All hits involve both linear and rotational acceleration, but rotation coveys the idea that your head is pivoting about the neck whereas linear acceleration is experienced from a direct blow in more of a straight line through the center of mass of the head," Stitzel said.

The median impact for each player ranged from 15.2 to 27.0 g, with an average value of 21.7 g, which shows the wide variability in the force of impacts.

The study found that impact frequency was greater during games (15.5) than during practices (9.4). However, overall exposure over the course of the season was greater during practices.

This information may help teams reduce exposure to head impacts during practices by teaching proper tackling techniques that could reduce exposure to impacts that may result in a higher concussion rate, the researchers reported.

Additionally, the study found a wide variation in player exposure within the team, with a 22-fold variation in the exposure per impact for practices and a 47-fold variation in the exposure for impact for games.

Studies like this are vital to understanding the biomechanical basis of head injuries related to football, Stitzel said. The metric fully captures a player's exposure over the course of the season and will be used in conjunction with other pre- and post-season evaluations, including MRI and neurological tests conducted as part of this study.

The research team hopes that this work may ultimately improve helmet safety and design to make football a safer sport.

S&P retreats after eight days of gains as Coca-Cola drags

NEW YORK (Reuters) - The S&P 500 snapped its eight-day winning streak on Tuesday after disappointing sales from Coca-Cola, while investors turned cautious on the day before the Federal Reserve chairman's congressional testimony.

The market's pullback came a day after both the Dow and the S&P 500 ended at record closing highs for the third consecutive session.

Tuesday's volume was below average at 5.5 billion shares traded on exchanges, but above Monday's 4.91 billion, which was the lightest of any full trading day this year.

Eight of the 10 S&P 500 industry sector indexes declined, with materials shares among the day's worst performers.

Coca-Cola Co was the biggest drag in terms of points on the S&P 500 after the world's largest soft drinks maker reported weaker-than-expected second-quarter sales, which it blamed on economic malaise and unusually cold and wet weather. The stock, which was the Dow's biggest percentage loser, fell 1.9 percent to $40.23.

"I think you're going to see a lot of companies that are coming in just barely meeting their earnings expectations and again reporting reduced revenues, and I think that's the crux of the problem with our economy," said Brian Amidei, managing director at HighTower Advisors in Palm Desert, California.

Investors are eager to hear Federal Reserve Chairman Ben Bernanke's testimony about monetary policy on Wednesday before the House Financial Services Committee. His comments will be closely analyzed for signs of when the central bank may start reducing its stimulus efforts.

Bernanke's comments in late May, which raised the prospect of trimming the Fed's $85 billion in monthly stimulus, triggered a brief selloff and interrupted this year's rally. The S&P 500 is still up 17.5 percent since December 31.

The Dow Jones industrial average <.dji> slipped 32.41 points, or 0.21 percent, to end at 15,451.85. The Standard & Poor's 500 Index <.spx> declined 6.24 points, or 0.37 percent, to finish at 1,676.26. The Nasdaq Composite Index <.ixic> fell 8.99 points, or 0.25 percent, to close at 3,598.50.

The day's economic data showed that U.S. consumer prices picked up in June. The overall U.S. Consumer Price Index increased 0.5 percent, the largest gain since February, after inching up 0.1 percent in May. U.S. homebuilder confidence rose in July to its strongest level in 7-1/2 years.

Financial stocks, which started the day as outperformers, also dropped despite strong earnings from Goldman Sachs . The S&P financial sector index <.spsy> fell 0.4 percent.

Goldman Sachs reported quarterly profit doubled as the bank made more money trading bonds before an interest-rate spike hit markets in June. But Goldman's stock slid 1.7 percent to $160.24 as investors fretted that the results could not be easily repeated.

In other earnings reports, Johnson & Johnson shares were flat at $90.40 after the Dow component reported higher-than-expected second-quarter earnings. Strong sales of prescription drugs and medical devices more than offset anemic growth of its consumer products, Johnson & Johnson said.

Analysts expect S&P 500 companies' second-quarter earnings to have grown 3 percent from a year earlier, with revenue up 1.5 percent, data from Thomson Reuters showed.

Shares of Tesla Motors Inc sank 14.3 percent to $109.05 after Goldman Sachs Group Inc set a new price target far below the stock's current trading price.

After the bell, shares of Yahoo slipped 2.7 percent to $26.15 following the release of its results. In Tuesday's regular session, Yahoo shares fell 1.7 percent to $26.88.

The day's volume was well below the average daily closing volume for the year of about 6.4 billion shares on the New York Stock Exchange, the Nasdaq and the NYSE MKT.

Decliners outpaced advancers on the New York Stock Exchange by a ratio of nearly 2 to 1. On the Nasdaq, about 14 stocks fell for every 11 that rose.

Merck says FDA needs more time for post-surgery drug review

WASHINGTON (Reuters) - Merck & Co Inc said on Tuesday that U.S. health regulators need more time to review its application to sell sugammadex, an injection designed to reverse the effects of muscle relaxants used during surgery.

The announcement came after the U.S. Food and Drug Administration canceled a meeting of outside advisers that had been set for Thursday. Merck said the FDA said it needed additional time to assess the results of its recently completed inspection of one of the company's clinical trial sites.

In 2008 the FDA declined to approve sugammadex, citing concerns about its possible association with allergic reactions and bleeding.

The advisory panel was supposed to discuss Merck's revised application, which the company says includes data showing the drug slightly increases the risk of allergic reactions but does not increase the risk of bleeding.

Merck said the site the FDA is still evaluating was one of four involved in its latest trial to test the drug's potential to cause allergic reactions. Merck said the site is not in China, a country drugmakers are increasingly using to conduct clinical trials, but declined to give further details.

Muscle relaxants are typically used at the beginning of an operation to facilitate the introduction of a breathing tube. They can also be used during abdominal and certain other procedures to prevent muscle movements that could complicate surgery.

Sugammadex is the first in a new class of drugs designed to reverse the effect of the muscle relaxants rocuronium and vecuronium. Merck acquired sugammadex when it bought Schering-Plough for $41 billion in 2009.

Sugammadex is already approved in more than 50 countries, where it is sold under the brand name Bridion. It generated worldwide sales of $261 million in 2012.

Analysts on average forecast U.S. sales of sugammadex, if ultimately approved, to reach $663 million annually by 2018, according to Reuters data. It would compete with Valeant Pharmaceuticals International Inc's Prostigmin, known generically as neostigmine, and Tensilon, also known as edrophonium.

Patients taking sugammadex to reverse deep paralysis caused by rocuronium emerged, on average, in 2.2 minutes, according to pooled data from late-stage clinical trials conducted by Merck and submitted to the FDA. Patients taking neostigmine emerged in 19 minutes, while those taking a placebo emerged in 92.9 minutes.

In patients given sugammadex to reverse the effects of vecuronium, patients emerged in 3.8 minutes on average compared with 67.6 minutes for those taking neostigmine, the company said.

David Michelson, Merck's head of neuroscientific research, said that in a trial of 448 patients who received 16 milligrams of sugammadex per kilogram of body weight - an amount given only on an emergency basis - one patient experienced a clear anaphylactic reaction, characterized by a drop in blood pressure, hives, increased heart rate and difficulty breathing.

Two other patients had reactions that were not clearly anaphylactic but shared some symptoms, while seven or eight more had milder allergic reactions such as nausea and rash, he said.

In patients taking the normal dose used in routine surgeries - 4 milligrams per 1 kilogram of body weight - there were no clearly anaphylactic reactions and only one mild reaction, Michelson said, adding that in a trial of nearly 1,200 patients undergoing hip or knee surgery, those who were given sugammadex were no more likely than those who were not given it to have episodes of bleeding.

In 2012, nearly 5 million surgeries in the U.S. included the use of rocuronium and vecuronium. About 60 percent of those also involved the use of a reversal agent, according to IMS Health.

Merck's shares fell 0.9 percent to $48.09 in afternoon trading on the New York Stock Exchange.

Beth thought her?girlfriend?Sue had been acting differently. Ever since Sue started spending more time with her friend Amanda, Beth had noticed a change in her behavior.

?At first, I was happy for Sue,? Beth confessed. ?She doesn?t have a lot of close friends, and I thought her friendship with Amanda would bring her out of her shell.?

?But then they started calling and texting each other constantly. I had the nagging feeling that Sue was pulling away from me and our relationship. I know nothing physical was happening between the two of them. It just didn?t feel right.?

What Beth was experiencing in her relationship was something called?emotional infidelity( or emotional cheating) and it happens all too often in lesbian relationships.

Sue and Amanda had forged a connection to each other that went beyond a close friendship. Amanda started fulfilling emotional needs for Sue that are integral to an intimate relationship; needs that should only be fulfilled by her significant other. Sue may not even have realized that her behavior and connection to Amanda had moved out of the ?friend zone? and into emotional cheating.

An intimate lesbian relationship consists of a framework of emotional connections that create a bond between two women. Before Sue?s relationship with Amanda escalated into emotional cheating, Sue would connect with Beth both physically (hugging, kissing,?sex) and emotionally (sharing stories, offering emotional support, loving words and deeds, and being attentive). A mix of both aspects ? physical and emotional ? is important to a healthy relationship. Once one piece goes missing, the intimate bond begins to deteriorate.

Unfortunately, emotional cheating is often far more destructive to a lesbian relationship than physical?infidelity. It can go much further before it is acknowledged, because the line between ?friendship? and ?emotionally intimate relationship? is often blurred. There isn?t just one act that points to cheating. Physical cheating is easy to define for most people ? it?s a specific sexual act. But what constitutes emotional cheating? Ask 10 people and you?re likely to get 10 different answers.

What is clear is that emotional?cheating?goes outside the boundaries of a normal friendship. Some common signs of emotional cheating are:

  1. She shares her most intimate thoughts with someone outside of your relationship.
  2. She seeks and gives a majority of her emotional support to someone outside of your relationship.
  3. She depends on someone other than you (her significant other) to meet her needs to feel loved, connected and significant.
  4. She?s distracted by someone else when she should be present in your relationship (for example, out to dinner with her ?friend?).
  5. She spends more time connecting with someone outside of your relationship ? talking on the phone, texting or spending time together.

It?s normal at times to support your significant other having a friend or?family?member as emotional support outside of your relationship. Maybe she is going through a tough?breakupor a family member has passed away. Usually, you will only be doing one or two of the above behaviors for a short period of time. This is not considered emotional cheating. Emotional cheating is when someone is participating in all or most of the above behaviors over a long period of time. She may make excuses for prolonging the contact or refuse to acknowledge it. She may even start hiding how often they contact each other.

The best way to deal with emotional cheating is not to let it happen in the first place! If you?re having problems in your relationship, get help (like coaching specifically for lesbian?couples) before things get worse. It?s much easier to solve problems in your relationship before something like emotional cheating happens.

If emotional cheating is already happening in your relationship or if you suspect it?s happening, it?s best to avoid accusing your significant other. Making accusations will only put her on the defensive and drive her away from you. Instead, it?s best to talk about the behaviors that are bothering you and how you feel.

When Beth sat down to talk to Sue, she said, ?I noticed you?re spending more and more time with Amanda. I feel like she is starting to meet emotional needs for you that I should be meeting. I want to take responsibility for meeting your needs and I think we should figure out how to reconnect emotionally.?

Beth and Sue decided it would be best to get some outside help. Getting outside help will allow you to determine why it?s happening, and what you need to do to reconnect with each other. This may include dealing with problems that arise from the emotional cheating like anger or trust issues.

Once Beth and Sue acknowledged the relationship problems that led to Sue seeking attention from Amanda, they were able to move past them. They both realized that they weren?t meeting each other?s needs and had allowed persistent problems to drive a wedge between them. With a little outside help and a new understanding of each other, they are now happier than ever!

Gold And Silver Prices Are Primed For A Rally | Commodities ...

During the recent weeks, we have seen commodities -- and especially precious metals -- continue to drop in value. Market participant sentiment has become more bearish on commodities. Couple that with a rising dollar, and it?s no wonder why we continue to see commodities as a whole fall in value.

Money has been flowing out of bonds at record levels this summer, which tells us that most market participants are feeling bullish on the stock market. This shift in sentiment from the masses is typical as they move their money from safer assets (bonds and commodities) and rotate into risk-on assets like stocks. While this is a bearish (contrarian) sign, stocks could easily continue to rally for an extended period of time, and possibly several more months, before they actually top out.

Let?s take a look at the financial market business cycle diagram.

Bond prices have been falling for months and they typically lead the stock market lower. I feel we are starting to enter the phase where stocks will soon top and head lower as well. Once this starts, money will naturally flow into safer assets that are more tangible, such as commodities.

Keep in mind that this cycle is very slow-moving, and rotation from one phase to another takes months. This is a process, not an event, but it is still very tradable.

Now let?s fast-forward to precious metals, and take a look at what gold and silver are likely to do in the next couple months. If you review the charts below, you will see that gold and silver bullion prices are looking primed for a bounce/rally from these deep oversold levels.

Take a look at a basket of commodities through the GREENHAVEN Continuous Commodity Index Fund (NYSEARCA:GCC), which is an exchange-traded fund that provides an innovative and efficient way to deliver broad-based, diversified commodity exposure. It aims to achieve this by using futures contracts to track the Thomson Reuters Equal Weight Continuous Commodity Total Return Index (CCI). The CCI-TR is an equal-weighted index of 17 commodities plus an additional Treasury bill yield. Because of the equal weighting, GCC offers significant exposure to grains, livestock, and soft commodities and a lower energy weighting than many of its peers. In addition, GCC is rebalanced every day in order to maintain each commodity?s weight as close to 1/17th of the total as possible.

So knowing metals are 24% of the index, it bodes well for a bounce in the overall commodity index. Keep in mind this report is only focusing on precious metals, but many other commodities, such as natural gas, also look ready to rally.

The chart below shows a very bullish four-year chart pattern. At the very minimum, a bounce to the $29 level is highly likely.

Conclusion

Commodities as a whole remain in a down trend. Until they show signs of real strength, I will not be trying to pick a bottom. Several commodities are starting to look oversold and ready for a bounce, including sugar, coffee, copper, and natural gas.

Last month I talked about how a major market top is likely to unfold during the second half of this year. I still believe this to be true. But keep in mind that the formation of these major market tops, which only happen every few years, is a major process. They take time to form. We will often see a series of new highs followed by quick sell-offs as the market gets more people long as the big money distributes their shares/contracts into the new money rotating into the market.

Canada's Loblaw to buy Shoppers Drug Mart for $12 billion

REUTERS - Loblaw Cos Ltd (L.TO), Canada's largest food retailer, will buy Shoppers Drug Mart Corp (SC.TO), the country's biggest pharmacy chain, for C$12.4 billion to bulk up against intensifying competition from U.S. retail giants as well as from consolidating local rivals.

News of the tie-up, Canada's biggest merger and acquisition deal so far this year, sent Shoppers shares soaring 26 percent and Loblaw shares up 8 percent on the Toronto Stock Exchange on Monday.

By acquiring Shoppers, Loblaw said it will create a combined retail operation with more than C$42 billion in annual revenue. The move also gives it a foothold in the growing small urban store sector.

The deal is more than double the size of the one that rival grocer Empire Co Ltd (EMPa.TO) announced a month ago, when it said it was acquiring Safeway Inc's Canadian assets for $5.7 billion. That deal cemented Empire's position as Canada's No. 2 grocer after Loblaw.

The consolidation has been spurred by competition from big U.S. retailers such as Target Corp (TGT.N) and Wal-Mart Stores Inc (WMT.N), which have been ramping up expansion in Canada and looking for ways to reach more customers in tighter urban locations. Target opened its first 24 Canadian stores in March and plans to have 124 stores across the country by yearend.

"We think the deal was a long time coming. We think no one should be surprised, Shoppers Drug Mart was a sitting duck," said Barry Schwartz, a portfolio manager at Baskin Financial Services, which owns some 140,000 shares of Shoppers. "I think the Empire-Safeway transaction lit a fire under a Loblaws to make a deal."

REGULATORS WILL SCRUTINIZE

The agreement could face regulatory challenges, however, even though the companies called its timing "optimal" from a regulatory standpoint.

Canada's Competition Bureau said in a statement it will review the proposal, but could not specify how long it will take. The companies said the deal is expected to close within six or seven months.

Executives said the businesses do not substantially overlap and that they do not foresee any substantial sales of existing assets to meet regulatory requirements. The two companies noted the transaction would not significantly change market share in their respective food and pharmacy businesses.

"We believe the Canadian retail space is as competitive - if not more so - than any place in the world," Galen Weston, executive chairman of Loblaw, told reporters.

"You've got ... the most compelling and aggressive international retailers in mass merchandising space in Canada, growing this year at a rate that is faster than at any time in Canadian history. So the starting point is a very competitive market."

Loblaw's offer of C$61.54 in cash and stock represents a premium of 27 percent to Shoppers Drug Mart's Friday closing price on the Toronto Stock Exchange. The companies said there are no plans to close any Shoppers Drug Mart stores.

COST SAVINGS SEEN

Shoppers Drug Mart, which turned 50 last year, owns about 1,300 drug stores and 65 Shoppers Home Health Care stores across Canada. Like Target and Wal-Mart, the company also sells beauty products.

The company changed hands a number of times until it went public in 2001. Previous owners have included Imasco, a unit of Imperial Tobacco, and a consortium of private-equity firms including KKR and Bain Capital.

Shareholders of Shoppers Drug Mart will have the option to either receive C$61.54 in cash or 1.29417 Loblaw common shares plus 1 Canadian cent in cash for each share held. The maximum amount of cash to be paid by Loblaw will be about C$6.7 billion.

Shoppers Drug Mart shareholders will own about 29 percent of the combined company. Shoppers Drug Mart will retain its name and brand and will operate as a separate division of Loblaw.

The combination is expected to yield annual cost savings of C$300 million by the third year, Loblaw said.

George Weston Ltd (WN.TO), Loblaw's biggest shareholder, will buy an additional C$500 million in Loblaw shares to help finance a the deal. George Weston now owns about 62 percent of Loblaw.

Loblaw said it would finance the cash portion of the deal with cash on hand and committed bank loans.

BofA Merrill Lynch acted as financial adviser to Loblaw, while Torys LLP was its legal counsel.

RBC Capital Markets advised Shoppers Drug Mart on the deal. Osler, Hoskin & Harcourt LLP was its legal counsel.

Loblaw shares have climbed 47 percent in the past year, while Shoppers shares have risen 17 percent.

The 5 Biggest Storylines Heading into Washington Redskins Training Camp

With David Amerson, Philip Thomas, Bacarri Rambo, E.J. Biggers and DeAngelo Hall returning, things are going to look different in comparison to last year?s secondary.

The secondary was clearly the biggest weakness in 2012. However, the Redskins made sure to emphasize that in the draft and in free agency.

If I could make a prediction, here?s how I see it starting out: Brandon Meriweather starts at strong safety with Reed Doughty playing opposite of him at free safety. DeAngelo Hall and Josh Wilson are the starting cornerbacks. In nickel formations, David Amerson moves to the outside cornerback position and DeAngelo Hall slides in to cover the slot receiver.

On the other hand, rookies Thomas and Rambo will see the playing field, as Doughty is best used in a reserve role.

Defensive coordinator Jim Haslett expects a lot from his DB?s and requires a lot of physicality. Richard Crawford, Chase Minnifield, Biggers and Jordan Bernstine will have opportunities as well.

This may not be as exciting as RGIII, but this will be the most competitive battle throughout training camp and will strongly reflect on how improved this defense will predictably be.
